Hold Harmless Agreement


This Hold Harmless Agreement (“Agreement”) is entered into as of, between Streamline Processing Co., “Processing Company”, and user making the submission, “Loan Officer”.

1. Scope of Services:

Processing Company provides mortgage processing services to Loan Officer, acting as an intermediary between the Processing Company and the mortgage origination company.

2. Responsibilities of the Parties:

• Processing Company: Processing Company agrees to process mortgage loans as instructed by Loan Officer, utilizing reasonable care and skill in accordance with industry standards.

• Loan Officer: Loan Officer agrees to provide accurate and complete information and documentation necessary for the processing of mortgage loans.

3. Hold Harmless Provision:

• Loan Officer agrees to indemnify and hold harmless the Processing Company, its officers, directors, employees, and agents from and against

any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or resulting from:

• Any errors, omissions, or fraud committed by Loan Officer or their clients in connection with the processing of mortgage loans.

• Any determinations of credit or qualifications made by the mortgage origination company.

4. Limitation of Liability:

• Processing Company shall not be liable to Loan Officer or any third party for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, arising out of or related to this Agreement.

5. Governing Law and Jurisdiction:

• This Agreement shall be governed by and construed in accordance with the laws of the State of California, County of Sacramento. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of State of California, County of Sacramento.

6. Entire Agreement:

• This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
